Terms of service

1. The service

Bidas is a desktop application for creating, sending, and tracking business proposals, with hosted services for sync, hosted proposal links, e-signature, and licensing. The app is local-first: it functions offline, and some features (sync, hosted links, email delivery, license activation, AI assist) require an internet connection.

2. Accounts

An email-verified account is required at first run. You are responsible for activity under your account and for the security of the devices where Bidas is installed. Team access tokens (in the form BIDAS-XXXX-XXXX-XXXX) are issued by workspace owners, are shown once, and may be revoked at any time.

3. Free tier & Pro license

• The free tier allows 3 proposals per calendar month across all businesses in the app and displays a “Made with Bidas” badge on generated documents.
• A Pro license removes the monthly limit and the badge, and enables hosted links with e-signature, cloud sync, team workspaces, and custom logo upload.
• Each Pro license key covers activation on 2 devices. You can deactivate a device and restore your license by email on a new one.
• Licenses are per person or company workspace, not per business — every business in an activated install is covered.

4. Acceptable use

You agree not to:

• Use Bidas to send fraudulent, deceptive, or unlawful proposals, or unsolicited bulk email.
• Misrepresent the identity of a signer, or tamper with the e-signature audit trail.
• Probe, attack, or overload the hosted services, or attempt to access another customer's data.
• Share, resell, or circumvent license keys or team access tokens outside your licensed use.

5. Your content

You own your proposals, client data, and business content. You grant us only the limited rights needed to operate the service — storing synced copies, delivering emails you compose, and displaying hosted links to the recipients you choose. You are responsible for the accuracy and lawfulness of the proposals you send.

6. E-signatures

Bidas records a typed name, drawn signature, timestamp, IP address, and user agent for each acceptance. This audit trail is designed to support the legal validity of electronic signatures, but we are not a law firm: whether a specific signature is enforceable depends on your jurisdiction and circumstances. If you need certainty for a particular transaction, consult counsel.

7. Payments & refunds

Paid plans renew automatically until cancelled. You can cancel at any time; when a paid period ends, the app returns to the free tier and your data remains on your devices. For refund requests, contact [email protected] from your purchase email.

8. Updates

Bidas updates itself automatically. We may change features over time, but we will not remove your local data or your ability to export it.

9. No warranty

Bidas is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free.

10. Limitation of liability

To the maximum extent permitted by law, demelos LLC is not liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost contracts, or lost data — arising from your use of Bidas. Our aggregate liability for any claim is limited to the amount you paid us in the twelve months before the claim.

11. Governing law

These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Delaware.
